These Terms of Service (the "Legal Terms") constitute a legally binding agreement between you (whether personally or on behalf of an entity) and ScriptDock ("Company," "we," "us," or "our") concerning your access to and use of our browser extension, website, APIs, documentation, and related products and services (collectively, the "Services"). BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE LEGAL TERMS. IF YOU DO NOT AGREE, YOU MUST NOT USE THE SERVICES.

1. Our Services

The Services may not be available in all languages or regions and are not intended for use where prohibited by law. If you access the Services from other locations, you do so on your own initiative and are responsible for compliance with local laws. The Content and Marks are provided "AS IS" for your personal or internal business use. Except as expressly permitted, you may not copy, reproduce, distribute, publicly display, or create derivative works without our prior written consent.

You may need an account to use some features. Keep your password confidential; you are responsible for all use of your account. We may reclaim usernames we deem inappropriate or infringing.

We use third-party processors (e.g., Stripe) for payments. You agree to provide current, complete, and accurate billing information, and authorize recurring charges if you enroll in a subscription. Prices may change with prior notice. Applicable taxes may apply.

The Services include generative AI features that produce text, code, or other outputs ("AI Output"). AI Output is probabilistic, may be inaccurate or incomplete, and can reflect biases. You must independently review, test, and validate AI Output before relying on it, including for legal, security, and compliance purposes.

If the Services enable you to submit or share content ("Contributions"), you are solely responsible for your Contributions and for ensuring they comply with these Legal Terms and applicable law.

10. Contribution License

You retain ownership of your Contributions. You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and adapt Contributions as necessary to operate, secure, and improve the Services and to comply with law. Feedback you provide may be used without restriction or compensation.

If you link third-party accounts, you authorize us to access certain information consistent with your settings and the third-party terms. Your relationships with third-party providers are governed solely by their terms.

12. Third-Party Websites and Content

The Services may link to third-party websites or content. We do not control, endorse, or assume responsibility for third-party content or services. Your use is at your own risk and subject to third-party terms and policies.

We may monitor the Services for violations, take action to protect users and our rights, remove or disable content we deem harmful, and manage the Services to maintain proper functioning.

We care about data privacy and security. Please review our Privacy Policy. By using the Services, you agree to its terms which are incorporated by reference into these Legal Terms.

15. DMCA Notice and Policy

If you believe content available on or through the Services infringes your copyright, please send a notice to [email protected] with: (a) your signature; (b) identification of the copyrighted work; (c) identification of the infringing material and its location; (d) your contact information; (e) a statement of good-faith belief; and (f) a statement under penalty of perjury that the information is accurate and you are authorized to act. We may remove or disable access to alleged infringing material and terminate repeat infringers in appropriate circumstances.

16. Term and Termination

These Legal Terms remain in effect while you use the Services. We may suspend or terminate access for any breach or to comply with law. Upon termination, your right to access the Services ceases, but provisions intended to survive will remain in effect.

17. Modifications and Interruptions

We may change, suspend, or discontinue the Services at any time without liability. We do not guarantee uninterrupted availability and are not responsible for downtime or data loss.

18. Governing Law

These Legal Terms are governed by the laws of the State of California, USA, without regard to conflict-of-law principles.

19. Dispute Resolution

Any disputes arising under these Legal Terms will be brought in the state or federal courts located in San Francisco County, California, and the parties consent to exclusive jurisdiction and venue there.

20. Corrections

The Services may contain errors or omissions, including in pricing and availability. We reserve the right to correct and update information at any time without prior notice.

21. Disclaimer

THE SERVICES AND AI OUTPUT ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.

22. Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

23. Indemnification

You agree to defend, indemnify, and hold harmless ScriptDock and our affiliates, officers, agents, and employees from claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your Contributions, use of the Services or AI Output, or violation of these Legal Terms.

24. User Data

We may maintain data you transmit to the Services for operational purposes. You are responsible for your data and for maintaining your own backups. We are not liable for any loss or corruption of data.

25. Electronic Communications, Transactions, and Signatures

By using the Services, you consent to receive communications electronically. You agree that electronic agreements and signatures have the same legal effect as written ones to the fullest extent permitted by law.

27. Miscellaneous

These Legal Terms and any policies posted on the Services constitute the entire agreement between you and us. Our failure to enforce any right is not a waiver. If any provision is found unenforceable, the remaining provisions will remain in effect. You may not assign these Legal Terms without our consent. We may assign them at any time. No agency, partnership, or joint venture is created by these Legal Terms.
